These Terms and Conditions (“Terms”) govern your access to and use of the VerifyID.io platform, APIs, websites, and related services (collectively, the “Service”), operated by OmniSol Information Technology (Pty) Ltd (“VerifyID”, “we”, “us”, or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Definitions
- Account means an account created to access the Service.
- Client / You means the individual or legal entity using the Service.
- KYC means Know Your Customer identity verification processes.
- AML means Anti-Money Laundering screening, including sanctions, politically exposed persons (PEP), and crime databases.
- Watchlist means a collection of entities monitored on an ongoing basis.
- Entity means a natural person, business, or other legal subject added to a Watchlist.
- Data Sources means third-party datasets such as sanctions lists, PEP registers, and crime or enforcement lists.
- Website refers to https://www.verifyid.io.
2. Nature of the Service
VerifyID.io provides identity verification (KYC) and risk screening (AML / PEP / Crime) services by comparing information supplied by the Client against external data sources.
Important clarifications:
- VerifyID does not provide legal advice and does not make legal, regulatory, or compliance decisions on behalf of Clients.
- VerifyID does not guarantee that an individual or entity is free of risk.
- Results represent matches or potential matches and should be reviewed by the Client as part of their compliance processes.
3. Client Responsibilities
By using the Service, you confirm and agree that:
- You have a lawful basis (including consent where required) to submit personal or entity data for screening.
- You are responsible for how results are interpreted and used.
- You will use the Service only for legitimate compliance, risk, and due-diligence purposes.
- You will not use the Service to discriminate unlawfully, harass individuals, or violate privacy or data-protection laws.
- You remain solely responsible for regulatory compliance, including obligations under applicable AML, KYC, and data-protection legislation.
4. Accuracy and Limitations
Data sources are maintained by third parties. VerifyID cannot guarantee the completeness, accuracy, or timeliness of external data. Names, aliases, transliterations, and partial matches may produce false positives or false negatives.
You acknowledge that screening results are indicative, not definitive, and must be reviewed in context.
5. Watchlists and Automated Screening
Where Clients enable Watchlists:
- Entities may be screened automatically based on configured schedules.
- Notifications (email and/or webhook) are sent only when new matches are detected.
- Repeated matches do not generate repeated notifications.
- Removed entities are no longer monitored, but historical results may be retained for audit and compliance purposes.
6. Notifications and Webhooks
VerifyID may send notifications via email and/or webhooks (HTTP POST with JSON payloads). Clients are responsible for maintaining valid email addresses and webhook endpoints, ensuring webhook endpoints accept POST requests, and securing webhook receivers.
VerifyID is not responsible for failed delivery due to client misconfiguration or third-party system outages.
7. Audit, Logs, and Record Retention
VerifyID maintains internal logs relating to watchlist activity, screening runs, matches, and notifications. These records may be retained for operational, security, and audit purposes and may not be editable or removable by Clients.
8. Data Protection and Privacy
VerifyID processes personal data in accordance with its Privacy Policy and applicable data-protection laws. Clients acknowledge that they act as data controllers for data submitted to the Service and must ensure compliance with relevant privacy laws, including consent requirements where applicable.
9. Intellectual Property
All intellectual property rights in the Service, including software, APIs, documentation, trademarks, and branding, remain the exclusive property of VerifyID or its licensors. No rights are granted except as expressly stated.
10. Availability and Changes
VerifyID may modify, suspend, or discontinue features, update data sources, or perform maintenance. We do not guarantee uninterrupted availability.
11. Disclaimer and Limitation of Liability
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, VerifyID disclaims all warranties, express or implied. VerifyID shall not be liable for business decisions made based on screening results, regulatory penalties incurred by Clients, or any indirect, incidental, or consequential damages.
12. Indemnification
You agree to indemnify and hold VerifyID harmless from any claims arising from your use of the Service, your failure to comply with applicable laws, or your misuse or misinterpretation of screening results.
13. Governing Law
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.
14. Changes to These Terms
VerifyID may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
